At its December 14th Board Meeting, the Compensation and Management Succession Committee of the Parent Company Board of Directors granted you a special Directors Award.

The Directors wish to recognize, by this award, your personal contribution in the recent "Blue Chip Swap". Through your efforts, we were able to create an immediate reduction in Brazilian Johnson's debt and interest expense, thereby providing increased operating flexibility to the Brazilian subsidiary.
